About Sarthak Parnami

Sarthak is a tax advisor with extensive experience in advising multinational corporations and investment funds on transactional matters, such as acquisitions, India entry, outbound investments, and investment structuring. He has also advised clients on tax implications related to various business arrangements, including GST matters, group restructuring, and permanent establishment issues. Additionally, Sarthak’s practice also focuses on tax insurance advisory and has advised several insurers in underwriting marquee Indian tax policies as well as W&I insurance products.

Prior to joining Anagram Partners, Sarthak worked as a Senior Associate at Khaitan & Co, India.

Tax Advisory:

Advising a large Indian conglomerate on the GST implications with respect to the lease arrangement for developing integrated industrial area in Maharashtra.

Advised a leading gaming company in relation to the GST implications of its business model in India.

Advising a leading crypto-exchange company in respect of their group restructuring across several jurisdictions.

Advised an Australian multinational engaged in sourcing of software development professionals from permanent establishment perspective.

Advised multiple funds on structuring their carried interest and co-investment plans.

Advised numerous multinationals on their employee incentive policies from Indian tax perspective.

Advising a leading crypto-exchange company in the business of crypto derivates across several tax issues relating to their structure and business model

Assisted global insurers in underwriting Indian tax issues (including treaty benefits, indirect transfer tax, domestic tax issues and corporate restructurings) as well as warranties package involved in deals.

 

Transactional Matters:

Representing CVC in the acquisition of a majority stake in Aavas Financiers Ltd by way of an acquisition from Partners Group and Kedaara Capital and a follow-on open offer for USD 835 million.

Advised CVC and Gujarat Titans on the sale of a majority stake in Gujarat Titans to Torrent Group.

Advised Investcorp on its partial exit from Nephroplus as part of Quadra Capital’s INR 8.5 billion investment in NephroPlus.

Advised Panthera Growth Partners on their Series B investment in Emotorad.

Represented several funds including CVC, Investcorp, Nexus, Everstone and Think Investments on various transactions.

Advised different corporations on the tax characterization of business transfers.
